We would like to inform you that the Annual General Meeting of our company approved the merger of Allgemeine Gold- und Silberscheideanstalt Aktiengesellschaft into the majority shareholder, Umicore International AG, based in Pforzheim. In the course of this merger, the shares in our company in free float are also to be transferred to the main shareholder against payment of a cash settlement (“squeeze-out under merger law”).
The merger and the squeeze-out will become effective upon entry in the commercial register of Umicore International AG. Immediately thereafter, Umicore International AG will be renamed “Agosi AG”. This information is an advance notice. For more details, please see this letter.
